Governance Drift

The gradual divergence between the governance an organization documents and the governance it actually practises.

Drift is not misconduct. It is entropy. Thresholds set for a smaller company are never revisited. A committee formed for one risk continues after the risk changes. An exception granted once becomes precedent.

Drift is dangerous precisely because the documentation still looks correct. Boards receive assurance that describes a governance system that no longer exists in practice.

The remedy is periodic reconciliation: sample real decisions and compare them to the stated framework. The gap is the finding.
